Zentra

Terms of Service

The agreement between you and Zentra. Written for India: the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019 and the GST law that your invoices live under.

1. Accepting these terms

By creating an account or using Zentra (the “Service”) you agree to these Terms, to our Privacy Policy and to our Refund Policy, both of which form part of this agreement. If you do not agree, do not use the Service.

The agreement is between you and Chandrakanth G Bhatt (proprietor), trading as Zentra from Visakhapatnam, India. “Zentra”, “we” and “us” in these Terms mean that operator, and the contact details in clause 14 are ours.

You must be at least 18 and competent to contract under the Indian Contract Act, 1872, and be the owner, partner, director or an authorised representative of the business you register. Individuals, sole proprietors, partnerships, LLPs and companies are all welcome; the person who creates the account is answerable for how it is used.

We may update these Terms. A change that reduces your rights or raises the price is announced in the app and by e-mail at least 7 days before it applies to you; a price change gives you the right to leave and claim a pro-rata refund for the period you already paid for.

2. What the Service is

Zentra is a subscription, browser-based business-management platform for Indian small businesses: GST billing and bills of supply, inventory and purchase orders, customer ledgers and credit, staff and payroll, payments and reminders, reports, a GST return pack, WhatsApp marketing and poster generation, and review collection. It installs as a Progressive Web App on phones, tablets and laptops and keeps working through a short offline cache.

Which features your account can use depends on your plan — the current lists are on the pricing page. Features may be added, moved between plans or retired; if we retire something you are paying for and it cannot be replaced, we refund the unused part.

3. Your account

  • Keep your password to yourself. Anything done from your login is treated as done by you, until you tell us it was misused — and then only if you tell us promptly.
  • Give staff only the role they need. Zentra separates owner, manager and cashier; a cashier cannot reach settings, and you can remove a staff member at any time.
  • Give accurate details: business name, contact, address, and your GSTIN if you have one. A wrong GSTIN produces invoices that are wrong on their face, and that is on you, not on the software.
  • One business, one account record. Running more than one outlet on the same login is fine and is what the multi-store feature is for.

4. The 7-day free trial

  • Every new account opens with 7 days, no card, no mandate, nothing to cancel.
  • The trial window is stamped by our server when the business is created, not by the clock on your device.
  • When it ends without a plan, the account locks. Nothing is deleted. Sign in later, on any plan, and your bills and stock are where you left them.
  • We can shorten or end the trial offer for new sign-ups, but not for a trial already running.

5. Plans, prices and how payment works today

PlanMonthlyIf billed yearly (20% off)
Starter₹199₹159 per month, ₹1908 paid at once
Pro₹499₹399 per month, ₹4788 paid at once
Business₹999₹799 per month, ₹9588 paid at once
  • All prices are in Indian Rupees. Zentra is not registered under GST at present, so no GST is added to your subscription price. If that changes, tax will be shown separately and never hidden inside the price.
  • There is no payment gateway in the product yet. You pay us by UPI or bank transfer against a plain-language request by e-mail, and we activate the plan on the account from our side. Nothing is charged automatically, and nothing renews by itself — a yearly plan ends when the year does, unless you renew it.
  • What you pay for is the licence to use the Service. Once paid, we issue you a receipt/invoice for the subscription from our side of the arrangement.
  • We do not add convenience fees, setup fees, per-invoice charges or “small account” charges. The price on the pricing page is the whole price. The one extra we ever charge is for going past what the plan includes — a branch beyond the two that come with Business, or storage above the published cap — and we tell you the amount before switching it on, never after.
  • Your subscription is not tied to your trade type, and choosing a different trade in Settings does not change what you pay.

If you are a business required to deduct tax at source on a subscription payment, do it under the section that applies to you and tell us, so the receipt matches.

6. What you must not do

You agree not to use the Service to:

  • create or alter records for supplies that did not happen, or otherwise misstate a business to the tax department. Invoicing what was never sold is tax fraud under the GST Act, 2017 and an offence under the Income-tax Act, 1961;
  • send bulk or unsolicited commercial messages to customers who have not agreed to hear from you, or use the messaging features to harass people. This includes the TRAI rules on commercial communications;
  • facilitate money laundering, or run a business that law prohibits;
  • reverse engineer, decompile or attempt to extract the source of the Service, or rent, resell or sublicense it without our written consent;
  • upload viruses or malicious code, attempt to break row-level security, probe another tenant’s data, or scrape the platform with automated tools;
  • impersonate a person or business, or register a GSTIN or brand that is not yours;
  • use anyone else’s logos, photographs or trademarks on a poster without the right to do so.

We may warn, suspend or terminate an account that breaches this clause, and where the breach is deliberate we are not obliged to refund it. We will tell you why, and you can write back.

7. The bills are yours to get right

Zentra is a tool, not an accountant, and not a tax adviser. It computes your tax breakup from the rates and HSN/SAC codes you or it suggests; it does not know your exemption notification, your composition scheme, or what your goods really are. Filing, payment of GST, and the accuracy of what you hand a customer remain your obligations. Take a chartered accountant or a GST practitioner for anything that carries money or risk.

8. Your data

  • You own the data you put in — items, customers, bills, staff records, posters. Nothing in these Terms transfers that to us.
  • You give us a limited licence to store, host, transmit, format and display it only to run the Service for you, and to delete it when you ask.
  • We will not use your business data for advertising, will not sell it, and will not train models on it. Read the Privacy Policy for the three outside services the app calls and what exactly reaches them.
  • For the personal data of your customers and staff you are the Data Fiduciary under the DPDP Act, 2023. Collect it lawfully, answer their requests, and use the app’s correction and deletion features to do it.
  • Get your data out whenever you like: items, customers and reports export to Excel-compatible CSV, bills download as PDF. We recommend exporting before you ask us to close an account.

9. Third-party features, and the AI ones in particular

Parts of Zentra are carried out by services we do not own: the database and authentication (Supabase), hosting (Netlify), the language model behind the AI screens (Google Gemini), the community image pool behind poster backdrops (AI Horde), WhatsApp on your own device, and Google for review submissions. Their terms govern those legs of the journey, and their availability is not something we can promise you.

  • AI output is a draft, not a decision. A dictated bill can come back with the wrong slab, a wrong HSN, or a quantity misheard. The app shows you what it understood before it writes anything; check it.
  • Poster images are generated by a public model. You may use the finished poster for your shop, but the image is not exclusive to you, no copyright in it is being granted by us, and free image pools can be slow, busy or unavailable. Your name, prices and QR code are laid on by our own software, not by the model.
  • WhatsApp sending is on you.The app prepares the message and the file; your device delivers it. Nothing is sent from our servers to your customers’ phones.

10. Availability and support

We do not promise an uptime percentage, and we will not hide that in small print. The Service is provided as it is, may be interrupted for maintenance, and depends on third parties listed above. Backups of your database are taken nightly and retained for 14 days; if we lose a day we will restore from the nearest snapshot and tell you exactly what was lost.

Support is by e-mail to ayoraindex@gmail.com. Business-plan accounts are answered ahead of others; nobody is made to wait for a ticket number.

11. Suspending, ending and export

  • You may stop using the Service at any time. Ask us in writing to close the account and we will; the Refund Policy decides what comes back to you.
  • We may suspend or end access for non-payment, for a breach of clause 6, where required by a court, government order or applicable law, or where continued access risks other tenants or the platform.
  • On closure your live records are deleted on request; the nightly snapshots rotate within 14 days. Export first — recovery after that window is not something we can promise.

12. Disclaimers

The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including merchantability or fitness for a particular purpose, to the extent permitted by Indian law. We do not warrant that the Service is uninterrupted, error-free, that its tax output is correct for your facts, or that anything generated by an AI feature is accurate.

13. Limitation of liability

To the maximum extent permitted by law, our total liability to you for anything arising out of the Service or these Terms is limited to the greater of the subscription fees you paid us in the three months before the event, or ₹2,000 if you have paid nothing.

We are not liable for lost profits, lost business, or indirect and consequential loss. Nothing here limits liability that cannot lawfully be limited — including for our own fraud or wilful misconduct, and nothing in these Terms is intended to take away a consumer’s rights under the Consumer Protection Act, 2019.

You are responsible for your own use: for the truth of your records, for consent from the people you message, and for claims that arise from what you did with the Service rather than from what we provided.

14. Notices, grievance redressal and content takedown

Notices under these Terms go to the e-mail on the account; yours go to ayoraindex@gmail.com. We do not run an automated mailing system, so a notice is written and sent by us from that address, and anything that changes your price or your rights also appears in the app itself — do not rely on your inbox being clean. Grievance and consumer-complaint handling is set out in the Privacy Policy, clause 12, and we acknowledge within 48 hours. Where a court, the appropriate government or an agency with jurisdiction directs us to remove information hosted through the Service, we remove it within 36 hours of the direction.

15. Governing law and where disputes are heard

These Terms are governed by the laws of India. Subject to the next sentence, the courts at Visakhapatnam have exclusive jurisdiction over disputes between us.

If you are a consumer as defined in section 2(7) of the Consumer Protection Act, 2019, you keep the statutory right to file your complaint at the place of your own residence or where you earned the cause of action, and before the District Commission or Online Consumer Redressal Portal that has jurisdiction over you. No clause here takes that away.

16. General

  • If one clause is held invalid, the rest survives and we replace the invalid one with something as close to its intent as law allows.
  • We may assign this agreement to a successor of the business; you may not assign it without our consent.
  • These Terms, the Privacy Policy and the Refund Policy are the whole agreement for the Service. A promise to you is only binding if it comes from us in writing.
  • Clauses 7, 8, 9, 12, 13, 15 and 16 survive termination.
